1. Agreement to terms

These Terms of Service (“Terms”) govern your use of the Praan Studio website and the services we provide, including branding, website design, social media, and deck design. By using our website or engaging our services, you agree to these Terms.

2. Services and proposals

The scope, timeline, deliverables, and fees for each project are defined in a written proposal or agreement shared before work begins. Any work outside the agreed scope may be quoted and billed separately.

3. Payments

Unless otherwise agreed in writing, projects require an advance payment before work begins, with the balance due as set out in the proposal. Invoices are payable within the stated period, and we may pause work on overdue accounts.

4. Client responsibilities

You agree to provide timely feedback, content, and materials needed for the project, and confirm that anything you supply (such as logos, images, or copy) does not infringe any third-party rights. Delays in providing materials or feedback may affect the project timeline.

5. Intellectual property

Upon full payment, ownership of the final approved deliverables transfers to you as set out in the project agreement. We retain ownership of drafts, unused concepts, and our working files, and we may showcase completed work in our portfolio and marketing unless agreed otherwise in writing.

6. Revisions and approvals

Each project includes the number of revision rounds specified in the proposal. Once deliverables are approved, further changes are treated as new work. Approval may be given by email or any written channel agreed for the project.

7. Cancellations

Either party may end a project with written notice. If a project is cancelled, you agree to pay for all work completed up to the date of cancellation, and any advance payments covering completed work are non-refundable.

8. Limitation of liability

Our website and services are provided on an “as is” basis. To the maximum extent permitted by law, Praan Studio is not liable for indirect or consequential losses, and our total liability for any claim is limited to the fees paid for the relevant project.

9. Governing law

These Terms are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
